About This Team

The growing M&A and Corporate Legal team at Cloud Software Group is responsible for the company's M&A, deal-related financing, divestitures, post-acquisition integration and transition services. In addition, this group is responsible for general corporate matters, including corporate governance, legal support for bank debt and capital markets financing, as well as global subsidiary management. 

Job Description

We are seeking a highly skilled and experienced Senior Corporate Paralegal to support our growing in-house legal team. The ideal candidate will have a deep understanding of corporate law, excellent organizational skills, and the ability to work independently and as part of a team. This role will involve legal entity management and rationalization, assisting with M&A, preparing and maintaining corporate documents, and providing general legal support to the organization.

Duties and Responsibilities

Corporate Governance & Compliance:

  • Prepare and maintain corporate records, including articles of incorporation, bylaws, minutes of meetings, resolutions, and other governance documents.

  • Assist with compliance reporting and filing obligations for domestic and international subsidiaries.

  • Manage and organize legal entity databases and ensure compliance with regulatory requirements.

  • Assist with the preparation and filing of annual reports, business licenses, and other state and federal filings.

Mergers & Acquisitions:

  • Assist with due diligence processes for mergers, acquisitions, and other corporate transactions.

  • Coordinate the execution and filing of transaction-related documents.

Corporate Filings & Documentation:

  • Prepare and file documents with state and federal regulatory agencies, such as the Secretary of State, the SEC, and other relevant authorities.

  • Maintain and manage corporate filings, including incorporation documents, amendments, and dissolution filings.

Legal Research & Support:

  • Advise on and implement best practices commensurate with a world class organization.

  • Provide legal support for a variety of corporate matters, including shareholder meetings, board meetings, and internal policies.

  • Assist in the preparation of materials for board meetings, shareholder meetings, and other corporate events.

Administrative & Operational Support:

  • Coordinate and manage the legal department’s filing and document management systems.

  • Track legal matters and ensure deadlines are met.

  • Assist in managing legal budgets and tracking expenditures related to corporate legal matters.

  • Coordinate with outside counsel and other departments as needed for ongoing corporate matters.

Required Experience/Skills

  • Minimum of 6 years of corporate paralegal experience, preferably in an in-house legal department or law firm specializing in corporate law.

  • Excellent attention to detail and ability to manage multiple projects simultaneously.

  • Proficient in using legal research tools and software (e.g., Westlaw, LexisNexis) and document management systems.

  • Exceptional organizational and time-management skills.

  • Strong written and verbal communication skills, with the ability to liaise with senior executives, external counsel, and other stakeholders.

Education 

  • Bachelor's degree or equivalent experience.

  • Paralegal certification (such as from NALA or NFPA) preferred.
